Terms of Use

These Terms govern access to and use of the InsourceAI Procurement Agent provided by InsourceAI Pte. Ltd. (“InsourceAI”, “we”, “us”). By creating an account or using the service, you agree to these Terms.

1. Business use and authority

You must be legally capable of entering into these Terms and, if you use the service for an organization, authorized to act for that organization. You must only connect mailboxes, documents, supplier records and systems that you are authorized to access and process.

2. What the service does

The Procurement Agent helps buyers parse BOMs, reconstruct private supplier history, find potentially relevant suppliers in a consented shared supplier network, prepare individually personalized RFQ drafts, monitor replies, extract quotations, benchmark market information, compare suppliers and support award decisions. Some features use AI and third-party data sources.

3. Buyer approval and commercial actions

AI-generated drafts, extracted quote fields, recommendations and market observations may contain errors or incomplete information. You must review material procurement information before relying on it. The service requires approval of each recipient's exact email content and locked attachment before an RFQ send, but you remain responsible for the communication and any resulting commercial action.

4. Connected email accounts

If you connect Gmail or Microsoft 365, you authorize the service to use the permissions presented during OAuth consent for the procurement functions you initiate. You may revoke provider access through the product or the relevant provider.

5. Your data and content

You retain ownership of the BOMs, documents, messages and other content you provide. You grant us the limited rights necessary to host, process, transmit and analyze that content to provide and secure the service.

6. Supplier and market information

Shared supplier profiles are based on supplier submissions, recorded consents and administrative review status. Inclusion, a verification label or a capability match is not an endorsement and does not guarantee identity, authorization, quality, availability, prices, lead times or business. Supplier and market information may change or be incomplete. Buyers remain responsible for commercial, sanctions, export-control, authenticity and supplier due diligence. Participation in the network does not guarantee enquiries or business for a supplier.

7. Acceptable use

You must not use the service to send unlawful or deceptive communications, access data without permission, introduce malware, bypass security controls, interfere with the service, violate intellectual-property or privacy rights, or use the service in a manner prohibited by applicable law.

8. Account security and deletion

You are responsible for safeguarding your credentials and for activity performed through your account. You may delete your user account through Account Settings. Deleting an account removes authentication access, sessions, workspace membership and associated mailbox credentials. Company procurement records may be retained in de-identified or audit-preserving form where reasonably necessary for legal, contractual or business-record purposes.

9. Third-party services

The service may depend on third-party platforms and APIs including OpenAI, Neon, Vercel, Google, Microsoft and market-data providers.

10. Fees

If you subscribe to a paid plan, the applicable price, usage limits and billing terms shown at purchase form part of these Terms.

11. Intellectual property

InsourceAI and its licensors retain rights in the service, software, branding, workflows and documentation, excluding your content and third-party materials.

12. Suspension and termination

We may suspend or restrict access where reasonably necessary to protect users or the service, respond to unlawful activity, address security risks, enforce these Terms or comply with law.

13. Service availability and disclaimers

The service is provided on an “as available” basis. To the extent permitted by law, we do not warrant uninterrupted operation or that automated outputs, integrations, market data or supplier information will always be error-free or complete.

14. Liability

To the maximum extent permitted by applicable law, neither party is liable to the other for indirect, incidental, special or consequential loss arising from the service. Nothing in these Terms excludes liability that cannot legally be excluded.

15. Governing law

These Terms are governed by the laws of Singapore. The courts of Singapore have jurisdiction over disputes arising from these Terms, unless a separate written agreement provides otherwise.

16. Changes

We may update these Terms as the service evolves. The revised version and effective date will be published here.
